Timor-Leste Hearts Fund (TLHF) is seeking a dedicated volunteer Company Secretary to support our mission of providing life-saving heart care to people in Timor-Leste. This is a rewarding opportunity to contribute your governance expertise to a values-driven, high-impact charity.
About Us
Timor-Leste Hearts Fund is Australia’s only medical NGO dedicated to providing heart healthcare to Timorese patients in need. Through surgery, prevention, and health system strengthening, we support young people with rheumatic heart disease and build long-term capacity in Timor-Leste. We are a registered Australian charity governed by a committed and skilled board of directors.
The Role
As our Volunteer Company Secretary, you will play a central role in ensuring TLHF meets its governance, legal and regulatory obligations. Working closely with the Board Chair and CEO, you’ll support the smooth functioning of the Board and help maintain strong compliance and transparency.
Key responsibilities include:
- Coordinating and preparing Board and committee agendas, papers, and minutes
- Ensuring compliance with ACNC, ASIC, and other regulatory bodies
- Maintaining statutory registers and governance records
- Advising on governance and constitutional matters
- Supporting risk and policy frameworks
- Filing key reports and maintaining strong corporate recordkeeping
What We’re Looking For
- Experience in a Company Secretary or governance support role
- Familiarity with ACNC/ASIC and not-for-profit legal obligations
- Highly organised, detail-oriented and reliable
- Strong communication and interpersonal skills
- A commitment to TLHF’s mission and values
Bonus if you have:
- Governance Institute qualifications
- Experience in the health or international development sector
- Understanding of the Timor-Leste context
